Draft for review. Replace the placeholders in [brackets] and have this reviewed by a lawyer before publishing. It is a starting point, not final legal advice.

These Terms of Service ("Terms") are an agreement between you and [Legal entity name, e.g. Lotward LLC] ("Lotward," "we," "us") and govern your use of the Lotward website and application (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Lotward provides inventory and operations software, including lot and expiry tracking, scanning, costing, and related features. We may update or improve the Service over time.

2. Accounts

You are responsible for your account, for keeping your credentials secure, and for activity that happens under your account. You must provide accurate information and be authorized to act for the business you represent.

3. Acceptable use and no PHI

Lotward is for inventory and operational data only. You agree not to enter protected health information (PHI) or other regulated patient or health data into the Service, in any field, note, or attachment.

Lotward is not a HIPAA business associate and does not enter into Business Associate Agreements. You are responsible for the data you put into the Service and for your own compliance with laws that apply to you.

You also agree not to misuse the Service, including by attempting to breach security, reverse engineer it, resell it without permission, or use it to break the law or infringe others' rights.

4. Your data

You own the data you put into the Service. You grant us the limited rights needed to host and process it in order to provide the Service. For business customers who need one, a Data Processing Agreement is available on request at hello@lotward.com.

5. Subscriptions and billing

Paid plans are billed as described at sign-up [insert billing terms: amount, period, and whether plans auto-renew, and how to cancel]. Free pilots are provided for the stated period and may end or convert to a paid plan afterward. Fees are non-refundable except where required by law.

6. Intellectual property

Lotward and its software, design, and content are owned by us and protected by law. These Terms do not transfer any ownership of the Service to you.

7. Confidentiality

Each party agrees to protect the other's non-public information shared in connection with the Service and to use it only as needed to provide or use the Service.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind to the extent permitted by law. We do not warrant that the Service will be uninterrupted or error free.

9. Limitation of liability

To the extent permitted by law, we will not be liable for indirect, incidental, special, or consequential damages, and our total liability for any claim will not exceed the amount you paid us for the Service in the 12 months before the claim.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or end access if you breach these Terms or as needed to protect the Service. On termination, you may export your data for a reasonable period, after which it may be deleted.

11. Changes to these Terms

We may update these Terms. We will post the new date at the top and, for material changes, provide additional notice. Continued use after changes take effect means you accept them.

12. Governing law

These Terms are governed by the laws of [your state], United States, without regard to conflict-of-laws rules. [Insert any dispute-resolution or venue terms.]
